Welcome to Spring Technology! These Terms and Conditions (“Terms”) govern your access to and use of Spring Technology’s website, online courses, services, and all associated content (collectively, the “Services”). By accessing or using any part of our Services, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, then you may not access the Services.
1. Acceptance of Terms and User Eligibility
By clicking “Sign Up,” “I Agree,” “Enroll Now,” or any similarly labeled button, or by otherwise using or registering an account for the Services, you explicitly agree to enter into a legally binding contract with Spring Technology. This contract applies to all users, whether registered (“Clients”) or unregistered (“Visitors”).
To use our Services, you must be at least 16 years old, or of legal age of consent to open an account under the laws of your jurisdiction, if older. If you are under the age of 18, you represent that you have obtained parental or legal guardian consent to use the Services, and your parent or guardian is responsible for your activity on the platform. Creating an account with false information or for persons under the minimum age is a violation of these Terms. Spring Technology reserves the right to take legal action against anyone who misrepresents personal information or is otherwise untruthful about their identity.
2. User Accounts: Creation, Security, and Responsibilities
To access certain features of our Services, you may be required to create an account. You are solely responsible for maintaining the confidentiality of your account password and credentials, and you agree to accept responsibility for all activities that occur under your account. You must immediately notify Spring Technology of any unauthorized uses of your account or any other breaches of security. Spring Technology will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions.
You agree that all information you provide to Spring Technology during registration or at any other time will be true, accurate, current, and complete, and you will ensure this information remains updated at all times. You may be liable for losses incurred by Spring Technology or others due to any unauthorized use of your account resulting from your failure to protect your credentials.
3. Intellectual Property Protection
For an online tech academy, protecting intellectual property (IP) is paramount. These Terms explicitly safeguard Spring Technology’s course content, proprietary methodologies, and any associated software.
3.1. Prohibition of Unauthorized Access, Sharing, and Copying
Spring Technology grants you a non-exclusive, non-transferable, and non-sublicensable license to access and use our course content and Services for your personal, non-commercial educational purposes only. You are strictly prohibited from:
- Sharing your login information or granting access to your account to any other individual.
- Sharing course content through any means, including but not limited to screen recording videos, distributing workbooks, or sharing other course materials.
- Copying, recreating, modifying, publishing, uploading, posting, transmitting, distributing, or using Spring Technology’s unique methods, strategies, course content, or technology for commercial purposes without our prior written permission.
- Reverse engineering, decompiling, or disassembling any software or technology provided as part of the Services, except as expressly permitted by applicable law or accompanying license terms.
- Removing any copyright, trademark, or other proprietary notices from any content or materials.
You agree to prevent any unauthorized copying of the Materials.
3.2. User-Generated Content (UGC)
If our Services allow you to post, upload, or submit content (e.g., in discussion forums, project submissions, peer reviews), you retain ownership of your intellectual property rights in that content. However, by posting content, you grant Spring Technology and its affiliates a non-exclusive, worldwide, transferable, sublicensable, royalty-free right and license to use, copy, modify, distribute, publish, and process this content for purposes such as displaying, distributing, promoting the platform, and improving our Services, without further consent or compensation. This license can be ended by deleting your content or closing your account, with exceptions for content you have shared with others and content that may take time to remove from backup systems.
You are solely responsible for the content you post and for ensuring it does not violate any third-party rights, including intellectual property rights. Spring Technology is not responsible for the accuracy or views expressed in user-generated content.
4. Acceptable Use and Prohibited Conduct
You agree to use Spring Technology’s Services exclusively for authorized and legal purposes, consistent with these Terms and all applicable laws, regulations, and the rights of others. You agree not to engage in any of the following prohibited activities:
- Creating false identities or misrepresenting your identity or affiliation.
- Scraping data, overriding security features, or attempting to circumvent any technical limitations of the Services.
- Copying or distributing information without consent, or disclosing confidential information.
- Violating intellectual property rights of Spring Technology or others, including copying or distributing our learning videos, materials, or technology unless released under open-source licenses.
- Posting or transmitting harmful code, such as malware, spyware, adware, viruses, worms, or Trojan horses.
- Impersonating another person or organization.
- Posting or transmitting direct threats of violence, abusive, obscene, or offensive language or imagery.
- Posting private information about others without their consent.
- Engaging in spam, machine-generated content, phishing, spoofing, or other unsolicited promotional methods.
- Monetizing any part of the Services without explicit written consent from Spring Technology.
- Interfering with the operation of the Services or disturbing the use and enjoyment of the Services by other users.
- Using automated devices for data mining, harvesting, or collecting visitor information without express written consent.
Spring Technology reserves the right, but does not have any obligation, to determine whether user conduct or any content violates our prohibited conduct terms and to take action that we deem appropriate, including removing content or terminating access.
5. Payment Terms, Fees, and Subscription Management
If you purchase any paid Services (“Premium Services”) from Spring Technology, you agree to pay the applicable fees and taxes.
- Fees and Billing: All fees for Premium Services will be clearly indicated. Payments will be charged on a pre-pay basis at the start of each subscription period.
- Accepted Payment Methods: We accept major credit cards (VISA, Mastercard, American Express) and may offer other payment options in certain regions. Spring Technology reserves the right to update or change accepted payment methods at any time, with reasonable notice.
- Automatic Renewal: Unless you notify Spring Technology before the end of the applicable subscription period that you wish to cancel, your subscription will automatically renew, and you authorize us to collect the then-applicable subscription fee (as well as any taxes) using your on-record payment method. Subscriptions can be canceled at any time through your account settings or by contacting our support team.
- Non-Payment: Failure to pay applicable fees will result in the termination of your Premium Services. Spring Technology will not be obliged to reinstate or provide any forfeited benefits as a result of non-payment or late payment.
- Pricing Changes: Spring Technology reserves the right to amend fees or run promotions. Learners will be notified of any pricing changes, but changes will not affect those who registered prior to the change.
6. Termination and Suspension of User Access
Spring Technology reserves the right to terminate or suspend your access to all or any part of the Services at any time, with or without cause or notice, effective immediately. This right typically applies in cases of:
- Breaches of these Terms or any other Spring Technology policies.
- Non-payment of fees.
- Engagement in abusive behavior or conduct that causes harm or liability to Spring Technology, its users, or third parties.
- Providing false or misleading registration information.
- Infringement of intellectual property rights.
In most instances, no refunds will be provided to users whose access is terminated due to their breach of this agreement.
You may terminate this Agreement or your account at any time by discontinuing use of the Services and, if applicable, closing your account through the provided mechanisms or by contacting our support team.
Provisions that, by their nature, should survive termination (e.g., intellectual property, disclaimers of warranties, limitation of liability, governing law) will remain in effect.
7. Disclaimers of Warranties and Limitation of Liability
Spring Technology provides its Services on an “AS IS” and “AS AVAILABLE” basis, without any express or implied warranties of any kind. We do not warrant that the Services will be uninterrupted, error-free, secure, or that any defects will be corrected. You understand and expressly agree that your use of Spring Technology’s Services is at your sole risk. Any material or data downloaded or otherwise obtained through the use of our Services is at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data resulting from such downloads.
To the fullest extent permitted by applicable law, Spring Technology, its affiliates, officers, directors, employees, consultants, and agents will not be liable for any direct, indirect, incidental, special, exemplary, or consequential damages, including but not limited to lost profits, lost business opportunities, reputation damage, lost savings, or loss of programs or data, arising from or related to the use or inability to use the Services, or any linked site or resource, even if Spring Technology has been advised of the possibility of such damages.
In jurisdictions where the exclusion or limitation of liability for consequential or incidental damages is not allowed, Spring Technology’s liability is limited to the maximum extent permitted by law. In no event shall Spring Technology’s total liability to you for all damages, losses, and causes of action exceed the total fees paid by you to Spring Technology in the twelve (12) months prior to the cause of action.
8. Governing Law and Dispute Resolution
These Terms and any disputes arising from or related to them or the Services will be governed by and construed in accordance with the laws of, without regard to its conflict of laws provisions.
Any claims or disputes (excluding claims for injunctive or equitable relief or intellectual property claims) shall be resolved exclusively in the federal or state courts located in, and both parties consent to personal jurisdiction in those courts.
9. Third-Party Links and Services
Our Services may contain links to third-party websites or services that are not owned or controlled by Spring Technology. Spring Technology has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We do not guarantee the accuracy, currency, content, or quality of such sites and information. The inclusion of any link does not imply endorsement by Spring Technology. Accessing third-party sites is at your own risk.
You acknowledge and agree that Spring Technology shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services. We encourage you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.
10. Policy on Amendments to Terms
Spring Technology reserves the right to update or modify these Terms at any time, without prior notice to you. Any such revisions will be effective immediately upon being posted on the Services. We will endeavor to provide reasonable advance notice for material changes that negatively impact your use of the Services.
Your continued use of the Services after such revisions have been made will constitute your acceptance of such revised Terms. If you disagree with any changes, you should stop using the Services within the notice period. For this reason, you should visit this page periodically to review the current Terms.
11. Miscellaneous
- Entire Agreement: These Terms constitute the entire agreement between you and Spring Technology regarding the Services and supersede all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter.
- Severability: If any provision of these Terms is found to be invalid or unenforceable by a competent court, the remainder of the terms will remain in full force and effect, provided it does not materially affect the parties’ rights.
- Waiver: No delay or omission by Spring Technology to exercise any right, power, or remedy accruing to it upon any breach or default under these Terms will be deemed to impair, waive, or release that right, power, or remedy.
- Assignment: You may not assign or transfer these Terms or any rights hereunder without Spring Technology’s prior written consent. Spring Technology may assign these Terms to its affiliates or a buying party without your consent.
